Sole proprietorship or Self-employed without staff.
With the sole proprietorship form, you are the sole owner of the company. This can be as a self-employed person who practices a profession (notary, painter, etc.) or if you are the sole owner of the company. An entrepreneur who has a sole proprietorship can therefore also employ ordinary staff. The Sole Proprietorship is not a legal entity (as with a BV or NV. That is why with a sole proprietorship you are personally liable for any debts.
The advantage of a sole proprietorship
Setting up a sole proprietorship or self-employed is simple. For example, no notarial act is required as is the case with a BV. There are also various tax advantages, which BV does not have. Think of a self-employed deduction and a starter's deduction.
A disadvantage of a sole proprietorship is that you are not only financially liable for any debts from the company. If there is a bankruptcy or debts, this has financial consequences for you privately.
Sole proprietorship and taxes.
If you are the owner of a sole proprietorship, you mainly have to deal with 2 types of tax. VAT and income tax. The first applies to your company and the second to you as a private person. In income tax, the profit of your company is seen as income, on which tax must be paid. In the Netherlands, the government wants to stimulate entrepreneurship. They do this by giving tax benefits so that you as an entrepreneur have to pay less tax.
The start-up deduction and self-employed deduction
Sole proprietorships or self-employed persons are usually entitled to a self-employed deduction. In order to be able to make use of a self-employed deduction, the hours requirement must be met. This means that you have to spend at least 1225 hours per year on the company. You must be able to demonstrate this. In 2023, the self-employed deduction will be €5030.00.
In the first five years of the company, starting entrepreneurs may make use of a start-up deduction a maximum of three times. In fact, this is a higher starter deduction than the standard starter deduction. With the start-up deduction you can increase the self-employed deduction by € 2123.00.

An entrepreneur who has a sole proprietorship can therefore also employ staff. The sole proprietorship is not a legal entity (such as a v.o.f. or a B.V. ). Therefore, you are personally liable for any debts with this legal form.
